| "HB 03-1377 moved the provisions relating to registered agents into article 90 of title 7, C.R.S., the goal being to conform these requirements for every entity on file in the Secretary of State’s office. A registered agent receives mail on behalf of the entity and is the agent for service of process and other important documents. A registered agent can be either: an individual who is 18 years or older; a domestic entity having a usual place of business in Colorado; or a foreign entity authorized to transact business that has a usual place of business in Colorado who has so consented. Now, an entity can be its own registered agent. If a registered agent is not maintained or cannot be located, then the entity may be served by registered mail addressed to the entity at its principal office." |
